By enrolling or participating in the APM Affiliate Programme (“Programme”), you agree to this Affiliate Programme Agreement (“Agreement”). If you do not agree, do not register or participate.
1. Definitions

“We”, “us”, “our”, “APM”, “Programme Operator”: the legal entity operating Autism Parenting Magazine and this Programme.

“You”, “your”, “Affiliate”: the party enrolling in and participating in the Programme.
-
“Affiliate Link”: the unique link we provide for tracking referrals.
-
“Qualifying Transaction”: a valid customer purchase tracked to your Affiliate Link that is not cancelled, refunded, fraudulent, or charged back.

“Brand Assets”: APM trademarks, names, logos, and approved creatives.
2. Relationship of the Parties
All affiliates operate as an independent contractor, not our employee, agent, partner, or franchisee.
3. Enrolment & Eligibility
Enrolment is subject to our review and approval. We may reject or terminate participation if your channels or conduct violate law, platform policies, this Agreement, or commonly held standards of decency (e.g., illegal, hateful, discriminatory, violent, adult content).
4. Commissions & Referral Fees

Rates (subject to Section 16 – Changes):

Recurring magazine subscriptions: 50% of the initial subscription value.

Back-issue bundles: 50% of purchase value.
Published rates on our website apply to other products/services unless we specify otherwise.

Earning Commissions: Commissions accrue only on Qualifying Transactions directly tracked to your Affiliate Link.

Refunds/Chargebacks: No commission is due on refunded, reversed, or incomplete transactions. Previously paid amounts may be set off against future commissions if later refunded or charged back.

No Multi-Tier: You do not earn commissions on other affiliates’ sales or sign-ups.
5. Payment Terms

Schedule: Commissions are paid monthly, 60–90 days after the customer purchase date to allow for refund/chargeback windows.

Method: Payments are made in USD via PayPal (or another method we may support from time to time). You are responsible for maintaining current, correct payout details.

VAT/Taxes: Commission amounts are exclusive of VAT. Where applicable, VAT will be added and you must provide valid tax information (e.g., VAT ID). You are responsible for all other taxes in your jurisdiction.

Minimum Payouts: We may set or change a minimum payout threshold on notice; sub-threshold amounts roll over.
6. Tracking, Cookies & Last-Click Attribution

Mechanism: Sales credit requires purchase through your Affiliate Link.

Attribution: We operate a last-cookie set policy: if multiple affiliate cookies exist, the most recent valid cookie at purchase receives credit.

Cookie Duration: 365 days, subject to change with notice.

Prohibited Practices: No cookie-stuffing, forced clicks, link hijacking, toolbars/extension injection, session replay insertion, or other deceptive tracking.
7. Brand, Domains & IP

Brand Use: We grant you a revocable, non-exclusive, non-transferable licence to use approved Brand Assets solely to promote APM under this Agreement and our Brand Guidelines.

Takedown: You will promptly modify or remove any use we reasonably object to.

Domain Names: You must not register or use domain names containing or confusingly similar to our marks (e.g., “autismparentingmagazine”, “autismmagazine”, misspellings/variants) for any purpose (including cloaking/redirects). We may terminate and seek remedies for infringement.
8. Advertising Standards, Disclosures & Content Claims

Disclosures: You must comply with the UK CAP Code/ASA guidance and FTC Endorsement Guides for US-facing activity. Clearly and prominently disclose affiliate relationships (e.g., “#ad”, “#affiliate”) wherever endorsements appear.

Truthfulness: All statements must be accurate, not misleading, and substantiated.

Prohibited Claims: Do not make medical or therapeutic claims, imply diagnosis/cures/outcomes, or provide professional advice.

Respectful Content: No stigmatizing or harmful representations of autism or autistic people.
-
Platform Policies: Comply with Meta, Google, TikTok, X, Pinterest, YouTube, email and other platform rules.
9. Incentives, Coupons & SEO Restrictions

No Cash-Back/Coupon Incentives: You may not promote cash-back, commission-back, discount codes, coupon pages, or any financial incentive relating to APM unless we provide an official coupon and written approval.

SEO for Prohibited Terms: You must not optimise for or target terms such as “Autism Parenting Magazine coupon(s)/discount(s)”, or content suggesting negative buying deterrents (e.g., “Do not buy APM”) designed to intercept last-minute buyers.

Permitted Incentives: You may bundle your own original products (e.g., reports, videos, software) as added value if truthful and compliant.
10. Paid Media, Brand Bidding & Whitelisting

Search Ads: Without prior written approval, you must not bid on or cause ads to trigger on our brand names, trademarks, misspellings, or variants (e.g., “Autism Parenting Magazine”, “autismparentingmagazine”) on search engines. Add our brand terms as negative keywords.

Social Ads/Whitelisting: Running paid ads on social platforms that (a) use our brand name/logo, (b) run from our handles, or (c) require page transparency/whitelisting, requires prior written approval and adherence to our ad policies.

No Misrepresentation: Ads must not impersonate APM or suggest official endorsement beyond the affiliate relationship.
11. Content Standards & Minors

Do not target or knowingly collect data from children. Comply with the ICO Children’s Code (Age-Appropriate Design Code) and applicable age-gating.

Pages hosting Affiliate Links must not contain adult, violent, hateful, or discriminatory content.
12. Data Protection & PECR
-
Status: Each party acts as an independent controller for personal data it processes in its own channels.
-
Your Duties: Provide a compliant privacy notice; obtain valid consent for cookies/trackers where required under UK GDPR and PECR; honour data subject rights; implement appropriate security.

Our Duties: We process personal data in accordance with our Privacy Notice and applicable law.
13. Email & Communications

You must maintain a valid, monitored email address and consent to operational communications (account, compliance, payout).

You may opt out of marketing emails at any time via unsubscribe.
14. Sanctions & Compliance
You represent that you are not owned or controlled by, and are not acting for, any person or entity subject to UK, US, or EU sanctions (including the UK OFSI consolidated list and US OFAC lists). You will not engage in activities that would cause us to breach applicable sanctions, export controls, or anti-bribery laws.
15. Conduct: SPAM, Unprofessional Behaviour & Misuse

No UCE/SPAM: Do not send unsolicited bulk email promoting APM.

Professional Conduct: Do not engage in slander, harassment, racism, unfair practices, or activity that brings APM into disrepute.

No Hostile Activity: No attempts to hack, disrupt, or manipulate our systems or tracking.
16. Changes to this Agreement & Programme
We may update this Agreement (including commission rates and policies). Changes take effect 30 days after we notify you by email or dashboard notice. If you do not agree, you may terminate before the effective date; continued participation after that date constitutes acceptance.
17. Term, Suspension & Termination

Term: Begins on acceptance and continues until terminated.

Termination for Convenience: Either party may terminate on 7 days’ written notice.

Immediate Suspension/Termination for Cause: We may suspend or terminate immediately for fraud, material breach, legal risk, infringement, sanctions/AML flags, or platform policy violations.

Effect on Commissions: Upon termination, we will pay undisputed, validly-earned commissions for Qualifying Transactions completed before the effective termination date, except where the transaction is refunded/charged back or the commission was generated by fraud or material breach. We may set off any sums due from you.

Inactive Accounts: We may terminate accounts with no tracked activity for 12 months.
18. Warranties, Indemnities & Liability

Your Warranties: You warrant compliance with this Agreement, law, and platform policies; that your content is lawful, accurate, and non-infringing; and that you will implement reasonable security measures.

Indemnity: You will indemnify us against claims, fines, losses, costs and expenses arising from (a) your breach of this Agreement or law, (b) misleading/non-compliant advertising or disclosures, (c) IP infringement in your materials, or (d) misuse of tracking.

Liability Cap: Nothing limits liability for death/personal injury caused by negligence, fraud, or other liability that cannot lawfully be limited. Otherwise, each party’s aggregate liability under or in connection with this Agreement is capped at the greater of £10,000 or the total commissions paid to you in the 12 months preceding the event giving rise to liability. Neither party is liable for indirect or consequential losses, loss of profit, or loss of data.
19. Fees & Deductions
Commissions are calculated on the gross transaction amount less any non-commissionable per-transaction fees we may publish from time to time. Such fees are deducted before commission calculation.
20. Confidentiality
Non-public information about our business, customers, technology, and this Programme is confidential. Do not disclose it except as required by law.
21. Governing Law & Disputes
This Agreement is governed by the laws of England & Wales. The parties will first attempt to resolve disputes by good-faith discussion. Failing that, the courts of England & Wales have exclusive jurisdiction. Either party may seek injunctive or equitable relief at any time.
Time Limit: Any claim must be brought within 12 months after you became (or ought reasonably to have become) aware of the relevant facts.
22. Miscellaneous

Assignment: You may not assign or transfer this Agreement without our prior written consent. We may assign or transfer at any time.

Notices: We may notify you by email or dashboard; you must keep contact details current.

Severability: If any provision is invalid, the remainder remains effective.
-
No Waiver: A failure to enforce is not a waiver.
-
Entire Agreement: This Agreement and documents it references (Brand Guidelines, Privacy Notice, published programme policies) are the entire agreement and supersede prior understandings.

Survival: Sections relating to payments, IP, confidentiality, data protection, indemnity, liability, and governing law survive termination.
23. Acceptance
By registering for or continuing to participate in the Programme, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

Current Cookie Duration: 365 days (subject to change with notice).

Prohibited: cash-back/coupons; SEO for “APM coupon/discount”; brand keyword bidding; cookie-stuffing; deceptive claims; medical/therapeutic claims; child targeting; SPAM.

Whitelisting/PPC: Prior written approval required for social whitelisting or use of APM brand in paid ads.

Disclosures: Must use clear affiliate disclosures (e.g., #ad, #affiliate).
Changes to this Agreement. We may update this Agreement (including commission rates and Programme policies) from time to time. Changes will take effect 30 days after we notify you by email or via an in-dashboard notice stating the effective date. If you do not agree, you may terminate before the effective date; your continued participation after that date constitutes acceptance. Changes will not apply retroactively to undisputed, validly-earned commissions for Qualifying Transactions completed before the effective date.
